Quick Summary: A legal battle unfolds as Mahindra Mangilalji Jain goes up against Radha Construction Co. over a 17.6 crore payment, with arbitration and temporary solutions being the main focus of the argument.
On October 16, 2017, Mahindra Mangilalji Jain and Radha Construction Co. made several agreements. Jain was supposed to leave the partnership, and in return, he was promised a big payment of 17.6 crores. However, things didn't go as planned.
The agreements included a Retirement Deed, a Memorandum of Understanding (MOU), and an Allotment Letter for 5000 sq.ft. in the Ventura Commercial Hub in Mumbai. Jain was supposed to get several post-dated cheques as part of his payment.
"The continuing partners agreed to pay to the outgoing partners consideration of Rs.17.6 crores for their retirement from the firm."
By 2024, Jain claimed he hadn't received the promised amount. The documents and cheques were supposed to be kept safe by a neutral third party, but Jain found out they had been given to a partner, causing more arguments.
Jain asked for arbitration and temporary solutions in 2025 to protect his interests. The Bombay High Court, under Judge Sandeep V. Marne, had to decide if the arbitration part in the Retirement Deed also applied to the MOU.
"The main agreement in the present case is the Deed of Retirement. The MOU is created only to give form to the Deed of Retirement."
The court decided to appoint Justice Sadhana Jadhav as the only arbitrator. It also put temporary measures in place to protect the disputed property, stopping any sale or transfer of the units involved.
The arbitration will continue, with the Court Receiver keeping control of the units. Jain and the remaining partners will present their cases, with the arbitrator deciding the final result.
"Until the arbitration is finished and the final decision is made, Respondents are stopped from selling, transferring, or giving away possession of unit Nos. 1001, 1009, 1101, 1110, and 1305."
The arbitration process will continue, showing how complicated business arguments can be and the importance of having clear agreements.
